Truck AI Locator Platform

Effective Date: August 12, 2026

1. Acceptance of Terms

By creating an account, logging in, or otherwise accessing the Truck AI Locator platform ("Service"), Client and its authorized users agree to be bound by these Terms of Service ("Terms"), in addition to the SaaS Subscription Agreement executed between Client and Venus Global Tech.

2. Description of Service

The Service uses AI-based location tracking and search technology to help Client: (a) monitor the real-time location of trucks/vehicles; (b) discover businesses, dealers, and locations offering desired vehicles for sale; and (c) receive alerts and analytics related to vehicle availability, pricing trends, and proximity.

3. User Accounts

Each authorized user must have a unique login; credential sharing across individuals is not permitted.

Client's administrator is responsible for provisioning and deprovisioning user access as staff change.

Provider may suspend accounts showing suspicious or unauthorized activity pending investigation.

4. Acceptable Use

Client and its users agree not to:

Use the Service to track any vehicle or individual without proper legal authority or consent;

Upload false, misleading, or fraudulent vehicle listing data;

Scrape, harvest, or bulk-export data from the platform beyond normal usage patterns without written consent;

Interfere with or disrupt the integrity or performance of the Service, including through malware, bots, or excessive automated requests;

Use the Service for stalking, harassment, or any unlawful surveillance purpose;

Attempt to gain unauthorized access to other clients' data or Provider's systems.

5. Third-Party Data & Listings

The Service may display vehicle availability and business location information sourced from third-party dealers, marketplaces, and public data feeds. Provider does not guarantee the accuracy, completeness, or current status of third-party listings and is not a party to any resulting sale transaction between Client and a third-party seller.

6. Intellectual Property

The Service, including its software, AI models, algorithms, and user interface, is the exclusive property of Venus Global Tech and is protected by intellectual property laws. No rights are granted to Client except the limited right to use the Service as described in the Subscription Agreement.

7. Suspension & Termination of Access

Provider may suspend or terminate a user's access for violation of these Terms, including breach of the Acceptable Use Policy, without affecting Client's obligations under the Subscription Agreement.

8. Changes to These Terms

Provider may update these Terms from time to time. Material changes will be communicated to Client at least fifteen (15) days in advance via email or in-app notice. Continued use after the effective date constitutes acceptance.
